General Terms and Conditions (T&C)

This translation is provided for convenience only; the German version is legally binding.

§ 1 Scope

(1) These General Terms and Conditions (hereinafter “T&C”) apply to all contracts between Cantum Technologies UG (haftungsbeschränkt), Am Moosfeld 27, 81829 Munich (hereinafter “Cantum” or the “Provider”) and the customer concerning the use of software solutions, services and consulting services.

(2) Deviating, conflicting or supplementary terms and conditions of the customer shall only become part of the contract if Cantum has expressly agreed to their validity in writing.

(3) These T&C, in their respective current version, also apply to all future business relationships, even if they are not expressly agreed again.

§ 2 Subject Matter of the Contract

(1) Cantum offers software-as-a-service solutions (SaaS), AI-based automation solutions, consulting services and other digital products. The exact scope of services is set out in the respective service description or the individual offer.

(2) Cantum is entitled to further develop and adapt the services offered at any time, provided that the contractually agreed scope of functions is not materially restricted as a result.

§ 3 Conclusion of Contract

(1) Offers made by Cantum are non-binding and subject to change, unless expressly stated otherwise.

(2) The contract is concluded by written order confirmation from Cantum or by the commencement of the provision of services.

(3) There are no oral side agreements. Amendments and supplements to this contract must be made in writing.

§ 4 Services and Obligations of Cantum

(1) Cantum shall provide the contractually agreed services with the care of a prudent businessperson.

(2) Cantum endeavors to ensure high availability of its SaaS services. Availability of 100% cannot be technically guaranteed. Maintenance work will, where possible, be carried out outside normal business hours.

(3) Cantum is entitled to engage third parties for the provision of services.

§ 5 Obligations of the Customer

(1) The customer shall ensure that all information, data and access required for the provision of services are made available in a timely and complete manner.

(2) The customer is itself responsible for backing up its data and shall perform data backups at regular intervals.

(3) The customer undertakes to use Cantum's software and services only in accordance with applicable laws and regulations.

(4) Access credentials must be kept secret by the customer and protected against access by third parties.

§ 6 Remuneration and Payment Terms

(1) The remuneration is determined by the respectively valid offer or the individual agreement.

(2) All prices are exclusive of statutory value added tax.

(3) Invoices are payable without deduction within 14 days of the invoice date, unless otherwise agreed.

(4) In the event of late payment, Cantum is entitled to charge default interest at the statutory rate.

§ 7 Term and Termination

(1) The contract term is determined by the respective offer or the individual agreement.

(2) Unless otherwise agreed, the contract is automatically renewed for the original contract period unless terminated with 30 days' notice to the end of the term.

(3) The right to extraordinary termination for good cause remains unaffected.

(4) Terminations must be made in writing (email is sufficient).

§ 8 Liability

(1) Cantum is liable without limitation for damages resulting from injury to life, body or health, as well as for damages based on an intentional or grossly negligent breach of duty.

(2) In cases of slight negligence, Cantum is only liable for breach of essential contractual obligations (cardinal obligations). In this case, liability is limited to the foreseeable damage typical for this type of contract.

(3) Any further liability is excluded.

§ 9 Intellectual Property

(1) All rights to the software developed by Cantum, including source code, documentation and design, remain with Cantum.

(2) The customer receives a non-exclusive, non-transferable right of use for the duration of the contractual relationship.

(3) Sublicensing, reproduction or disclosure to third parties is not permitted without the prior written consent of Cantum.

§ 10 Confidentiality and Data Protection

(1) Both parties undertake to treat as confidential all confidential information obtained in the course of the cooperation.

(2) Personal data is processed in accordance with the GDPR. Details are set out in our Privacy Policy.

(3) Insofar as Cantum processes personal data on behalf of the customer, a separate data processing agreement shall be concluded.

§ 11 Final Provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

(2) The place of jurisdiction for all disputes arising from the contractual relationship is Munich, provided that the customer is a merchant.

(3) Should individual provisions of these T&C be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
